1. Acceptance of Terms

By accessing or using the services provided by Elevate Growth Systems LLC (“EGS,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

2. Description of Services

EGS provides the following services:

2.1 Virtual Assistant Services

We connect clients with qualified virtual assistants who provide:

Administrative support (calendar management, email, travel, document management)
Social media management and content strategy
Revenue pipeline optimization and lead management
Customer service support
Bookkeeping and invoicing services
E-commerce support and management

2.2 AI Conversation Platform

We provide whitelabeled AI conversation services including:

Voice-based AI interactions
Text-based AI chat services
Automated customer engagement tools
Conversation analytics and insights

3. Service Relationship

3.1 Middleman Role

EGS acts as an intermediary between clients and independent virtual assistants. While we carefully vet and manage our VA network, the VAs are independent contractors, not EGS employees.

3.2 AI Platform

Our AI services are provided through whitelabeled technology partners. We customize and manage the AI platform on your behalf.

4. Payment Terms

4.1 Monthly Retainer Structure

Services are provided on a monthly retainer basis
Payment is due in advance of service delivery
Fees are non-refundable unless otherwise specified
Late payments may result in service suspension

4.2 Payment Processing

Payments are processed through secure third-party processors
You authorize us to charge your designated payment method
You are responsible for keeping payment information current

4.3 Fee Changes

We reserve the right to modify fees with 30 days’ written notice.

5. Client Responsibilities

5.1 Information Accuracy

You agree to provide accurate, complete, and current information necessary for service delivery.

5.2 Access and Cooperation

You will provide reasonable access to systems, accounts, and information required for VAs to perform their duties.

5.3 Communication Standards

You agree to maintain professional communication with VAs and our team.

5.4 Compliance

You are responsible for ensuring your business practices comply with applicable laws and regulations.

6. Service Limitations and Disclaimers

6.1 No Guarantees

We do not guarantee specific results, outcomes, or performance metrics
VA performance may vary based on individual skills and client requirements
AI responses are automated and may not always be accurate or appropriate

6.2 Service Availability

Services are provided on an “as available” basis
We do not guarantee uninterrupted service
Scheduled maintenance may temporarily affect service availability

6.3 AI Limitations

AI responses are generated by automated systems
AI may not understand complex or nuanced requests
Human oversight may be required for critical communications

7. Confidentiality and Data Handling

7.1 Confidentiality

We and our VAs will maintain confidentiality of your business information, subject to the limitations outlined in our Privacy Policy.

7.2 Data Security

While we implement security measures, you acknowledge that no system is completely secure, and you use our services at your own risk.

7.3 Data Retention

Conversation data from AI services is retained indefinitely for service improvement purposes.

8. Intellectual Property

8.1 Client Content

You retain ownership of your business content, data, and materials.

8.2 Service Content

EGS retains ownership of our proprietary methods, processes, and AI platform customizations.

8.3 Third-Party Content

Some services may incorporate third-party content or platforms, which remain the property of their respective owners.

9. Limitation of Liability

9.1 Liability Cap

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for services in the three months preceding the claim.

9.2 Excluded Damages

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

9.3 VA Actions

As VAs are independent contractors, we are not liable for their individual actions, errors, or omissions beyond our reasonable control.

10. Indemnification

You agree to indemnify and hold harmless EGS from claims, damages, and expenses arising from:

Your use of our services
Your violation of these Terms
Your violation of applicable laws
Content or information you provide

11. Termination

11.1 Termination by Either Party

Either party may terminate services with 30 days’ written notice.

11.2 Termination for Cause

We may immediately terminate services if you:

Violate these Terms
Fail to pay fees when due
Engage in illegal or harmful activities
Abuse or mistreat VAs or our team

11.3 Effect of Termination

Upon termination:

Access to services will cease
No refunds will be provided for prepaid fees
Confidentiality obligations survive termination

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes shall be resolved in the courts of Michigan.

12.3 Arbitration

We may require binding arbitration for certain disputes as permitted by law.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between the parties.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations.

13.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

13.5 Modification

We may modify these Terms with 30 days’ notice posted on our website or sent to your email address.

14. Age Requirements

Our services are intended for businesses and individuals 18 years of age or older.
